5. The Receiving Party acknowledges and agrees that all Confidential Information, and all physical embodiments thereof, are confidential to and shall be and remain the sole and exclusive property of the Disclosing Party. In the event that either party decides not to proceed with a Business Relationship, the Receiving Party shall promptly return, and cause all of its Representatives to return, to the Disclosing Party all written Confidential Information and shall destroy any other written material containing or reflecting any information contained in the Confidential Information (whether prepared by the Receiving Party or its Representatives) and shall confirm in writing that such actions have been taken. Neither the Receiving Party nor any of its Representatives will retain any copies, extracts or other reproductions in whole or in part of such Confidential Information, in whatever medium or format.

接受方承认并同意所有的机密信息，并由此产生的任何物质体现是保密的，并应披露方的唯一性和财产的专属性。倘若任何一方决定不再有业务关系，接受方应当及时退回并令其代表全部退回披露方所有书面机密信息，并不得销毁任何其他含有或反映任何所载资料保密信息的书面资料（无论是接受方或其代表），并应以书面形式确认业已采取行动。无论是接受方还是任何其代表不管以什么样的媒介或格式，都要保留任何副本或其他复制品等全部保密信息。
